Pros
* f-stop difference: f/2.8 against f/4
* smoother bokeh
* less vignetting
* less distortion
* less chromatic aberration
* brighter viewfinder
Cons
* big and bulky
* missing the 70-105 range

Canon EF 24-105mm f/4 L IS USM

Pros
* great zoom range
* lighter and smaller
* Image Stabilizer
* Very Sharp even wide open
Cons
* distorsion
* vignetting at 24mm even when stopped down
* f4 not great for shallow depth of field

Pros of both lenses

* Great Image Quality
* Sharpness
* Contrast and colors

Cons of both lenses

* Sample variation: unfortunately these two lenses suffer from sample variation
* Price: Their prices are very close but still on the expensive side.

Conclusion

It is really hard to go wrong with either of these two lenses, whichever you chose get a good copy and you will be happy with it.
